Asteron Terms of Use

1. Who we are

Asteron ("we", "us", "our") provides tools and services to help organizations understand and control AI related spend. Contact: support@asteron.net

2. Eligibility and authority

You must be at least 18 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts and access

Some features may require an account or an invitation. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

4. Pilot and deliverables

If you purchase or participate in a baseline pack or pilot, deliverables, scope, timelines, and inputs may be described in an order form, statement of work, or email confirmation. Unless expressly stated, pilots are provided "as is" for evaluation.

5. Fees, billing, and taxes

Fees (if any) will be described in an order form or other written agreement. You agree to pay applicable fees and taxes. Unless required by law, fees are non-refundable.

6. Acceptable use

You agree not to:

• Use the Service in violation of applicable law or regulation.
• Attempt to gain unauthorized access to the Service or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload or transmit malware or harmful code.
• Reverse engineer, decompile, or attempt to extract source code, except to the extent permitted by law.
• Use the Service to process or store sensitive data unless explicitly agreed in writing.

7. Customer data and confidentiality

You may provide data to us in connection with the Service ("Customer Data"). You retain your rights in Customer Data. You grant us a limited right to use Customer Data to provide and improve the Service, to generate requested deliverables, and to maintain security.

We will treat Customer Data as confidential and use reasonable measures to protect it. Additional confidentiality terms may be agreed in writing.

8. Intellectual property

We and our licensors retain all rights, title, and interest in the Service, including software, documentation, and deliverables templates, and all related intellectual property. Except for the limited rights expressly granted, no rights are granted to you.

9. Third-party services

The Service may integrate with third-party services. We are not responsible for third-party services, and your use of them may be governed by their terms and policies.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that outputs will be complete or suitable for any specific purpose.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD 100 IF NO FEES WERE PAID.

12. Indemnification

You agree to indemnify and hold harmless Asteron from claims arising out of your use of the Service, your Customer Data, or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if necessary for security or legal reasons. Upon termination, your right to use the Service ends.

14. Governing law and disputes

These Terms are governed by the laws of the jurisdiction where we are established, without regard to conflict of laws principles. Mandatory consumer protection laws may still apply depending on your location.

Before filing a claim, you agree to contact us at support@asteron.net and attempt to resolve the dispute informally.

15. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on our website with a new effective date. Continued use of the Service after changes become effective means you accept the updated Terms.
